1) Scope & Definitions
“Antokil”, “we”, “us” means ANTOKIL PEST CONTROL LLP. “Services” include pest control and digital marketing. “You”/“Customer” means the person or entity engaging us. Any proposal, quotation, invoice, or AMC schedule forms part of these Terms.
We may update these Terms; the effective date above reflects the latest version. For ongoing contracts, we will apply the version referenced in your latest order/AMC unless otherwise agreed.
2) Pest Control — Specific Terms
- Survey & Plan: Treatment methods are proposed post survey, considering species, entry points, and risk factors. BoQ and visit cadence depend on site size/complexity.
- Safety & Application: We follow SOPs with MSDS awareness and advise re-entry windows. You must follow the safety guidance provided (ventilation, access, pets/kids).
- Re-visits & Warranty: If your plan includes re-visits/warranty, they apply to the treated areas and specified pests only, subject to housekeeping/proofing compliance.
- Exclusions: Structural defects, fresh infestations from new sources, and areas we are denied access to are excluded. Termite work is limited to agreed barrier zones.
- Documentation: We provide logs and notes; signage/bait maps for commercial sites where applicable.
3) Digital Marketing — Specific Terms
- Scope: Local SEO, Google Business Profile, performance ads, landing pages, analytics and CRO as per proposal.
- Budgets & Platforms: Advertising budgets are paid by you directly to platforms; their policies/algorithms are outside our control.
- Outcomes: We optimize for agreed KPIs (leads/calls, CPL/ROAS). We do not guarantee rankings or specific results due to external factors.
- Content & Access: You grant rights to use your brand assets and to access accounts (GBP, ads, analytics) for the engagement.
- Compliance: You are responsible for product/service legality and claims; we reserve the right to reject non-compliant campaigns.
4) Booking, Access & Customer Cooperation
- Provide accurate site details, contact persons, and safe access during scheduled windows.
- Secure valuables; cover/relocate sensitive items as advised before treatment.
- Follow prep/after-care instructions; failure may void re-visit windows or warranties.
5) Pricing, Taxes & Payment
- Quotes are based on current scope and valid for a limited time. Final pricing may vary after survey/BoQ confirmation.
- GST and applicable taxes are extra unless stated otherwise.
- Payment terms are as per invoice/proposal (e.g., advance + balance, or monthly for AMCs/retainers).
- Delayed payments may attract late fees and suspension of services until cleared.
6) Cancellations & Refunds
See our Refund & Cancellation Policy for details. In brief, visit reschedules are subject to availability; work already delivered or media spend paid to platforms is non-refundable.
7) Warranties
- We warrant services will be performed with reasonable care and skill per our SOPs.
- For pest control, any warranty is strictly as stated in your order/AMC and limited to covered pests/areas subject to after-care/housekeeping compliance.
- Except as expressly stated, we disclaim other warranties (merchantability, fitness, non-infringement) to the extent permitted by law.
8) Limitation of Liability
To the extent permitted by law, our aggregate liability arising from the Services is limited to the lesser of (a) the fees you paid to us for the specific service order in the 3 months preceding the claim, or (b) ₹50,000. We are not liable for indirect, incidental, consequential, or special damages, or loss of profits/data/goodwill.
9) Customer Obligations
- Provide accurate information and timely decisions/approvals.
- Ensure safe working conditions and necessary permissions at the site.
- For digital work: ensure legality of your products/services, claims, and required licenses.
10) Intellectual Property & Confidentiality
- All materials we create (reports, creatives, code, templates) remain our IP unless otherwise agreed in writing. We grant you a license to use deliverables for your internal business during the engagement.
- Your brand assets remain yours; you license us to use them for providing Services.
- Both parties must keep confidential information private, except as required by law or with prior consent.
11) Data Protection & Cookies
We handle personal data per our Privacy Policy and Cookies Policy. You are responsible for providing any required notices/consents to your end-users when you share their data or route calls/leads to us.
12) Third-Party Platforms & Vendors
We may use third-party tools (hosting, analytics, ad platforms). Their availability, pricing, and policies may change, which can affect outcomes. You must comply with platform policies; we may suspend activity that risks account penalties or violates policy/law.
13) Force Majeure
Neither party is liable for delays or failures due to events beyond reasonable control (natural events, strikes, power/ISP failures, government actions). Timeframes will be adjusted accordingly.
14) Suspension & Termination
- We may suspend/terminate for policy violations, unlawful activities, or non-payment after notice.
- You may terminate with written notice as per your order/AMC; fees for work performed and committed third-party costs remain payable.
15) Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Courts at Ranchi, Jharkhand shall have exclusive jurisdiction. Parties will first attempt to resolve disputes amicably; if unresolved within 30 days, either party may seek judicial relief.
